Terms of Service

By accessing or using the PREDICATE™ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately at security@helmlegal.net if you become aware of any unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account where you have failed to maintain credential security.

One person or entity may not maintain more than one active account. Accounts registered by automated methods (bots) are not permitted.

PREDICATE is a litigation management platform designed for licensed attorneys, paralegals, and authorized legal professionals. You may use the Service to manage case files, process evidence, track deadlines, analyze litigation data, and prepare for trial proceedings.

You retain all ownership rights to the data, documents, and materials you upload to the Service ("Your Content"). We do not claim any intellectual property rights over Your Content. You grant us a limited license to host, store, process, and display Your Content solely to provide the Service to you.

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) upload content that infringes any third-party intellectual property, privacy, or other rights; (c) attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems; (d) interfere with or disrupt the integrity or performance of the Service or its infrastructure.

You further agree not to: (e) reverse engineer, decompile, or disassemble any part of the Service; (f) use the Service to develop a competing product; (g) resell, sublicense, or redistribute access to the Service without our written consent; (h) use automated tools to scrape, crawl, or extract data from the Service beyond authorized API usage.

The Service, including its source code, design, features, documentation, and all related intellectual property, is owned by Helm Legal Technologies, Inc. and protected by United States and international copyright, trademark, and other intellectual property laws.

PREDICATE™ is a trademark of Helm Legal Technologies, Inc. You may not use our trademarks, logos, or brand assets without prior written permission. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

We implement industry-standard security measures to protect your data, including AES-256 encryption at rest, TLS 1.2+ encryption in transit, role-based access controls, and immutable audit logging. Our full security practices are described on our Security page.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without prior notice when necessary to protect the integrity of the Service or its users' data.

Support is provided via email at support@helmlegal.net during business hours (Monday–Friday, 9 AM – 6 PM ET, excluding federal holidays). Enterprise plan customers receive priority support with enhanced response times as specified in their service agreement.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PREDICATE is a litigation support tool. It does not provide legal advice and is not a substitute for the professional judgment of a licensed attorney. You are solely responsible for all legal decisions and filings made using information from the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELM LEGAL TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You may terminate your account at any time by contacting support@helmlegal.net. Upon termination, you may request an export of Your Content for up to 30 days, after which it will be deleted in accordance with our data retention policy.

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or if required by law. We will provide reasonable notice when possible, except where immediate action is necessary to protect the Service or other users.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Broward County, Florida.

Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at legal@helmlegal.net. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.
